Terms and Conditions for Arafah Seller - Grow Your Business

Welcome to the Arafah Seller - Grow Your Business mobile application ("App") and website (www.arafah.shop) (collectively, the "Services"), operated by Arafah Shop Ltd. ("we," "us," or "our"), located at Plot No. 23 and 25, Sonargaon Janapath, Sector-13, Uttara, Dhaka 1230, Bangladesh. These Terms and Conditions ("Terms") govern your use of the Services as a seller ("you" or "Seller") on the Arafah - Online Shopping Mart platform. By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services.

1. Acceptance of Terms

By registering for an account, accessing, or using the App or website, you confirm that you are at least 18 years old, have the legal capacity to enter into these Terms, and agree to comply with all applicable laws, including the Personal Data Protection Ordinance 2025, the Digital Security Act 2023, and the Information and Communication Technology Act 2006 (as amended) of Bangladesh. We may update these Terms periodically, and changes will be posted in the App and on www.arafah.shop. Your continued use of the Services after changes constitutes acceptance.

2. Seller Account

To use the Services, you must create a seller account by providing accurate information, including your name, email, phone number, business name, address, tax identification number (TIN), Trade License, and National Identity Card in Bangladesh. You are responsible for:

  • Maintaining the confidentiality of your account credentials (e.g., email/password, phone/OTP, or social media login).
  • All activities conducted through your account.
  • Updating your account information to ensure accuracy.

We reserve the right to suspend or terminate your account if you provide false information, engage in fraudulent activity, or violate these Terms.

3. Product Listings and Content

As a Seller, you may upload product listings, including descriptions, photos, prices, and inventory details, to the Services for display on the Arafah customer app. You agree to:

  • Ensure all content is accurate, lawful, and does not infringe on third-party rights (e.g., intellectual property, trademarks).
  • Only list products that comply with applicable laws and regulations in Bangladesh and the buyer's jurisdiction.
  • Not list prohibited items, including illegal goods, counterfeit products, or items violating our policies (available at www.arafah.shop/policies).
  • Maintain up-to-date inventory levels to avoid overselling.
  • Clearly indicate shipping options, including whether you offer free shipping for eligible products.

We may remove or modify listings that violate these Terms or our policies without prior notice.

4. Orders and Fulfillment

You are responsible for fulfilling orders placed through the Arafah customer app promptly and accurately. This includes:

  • Processing orders within the specified timeframe.
  • Providing accurate shipping details and tracking information.
  • Handling returns and refunds in accordance with our policies.
  • For products marked as "free shipping," you agree that we may deduct the shipping costs from your product price as outlined in Section 5.

Failure to fulfill orders may result in penalties, account suspension, or removal from the platform.

5. Payments, Commissions, and Fees

Payment Processing and Payouts

We facilitate payments for your sales through bank transfers. The payment workflow is as follows:

  • Minimum Payment Threshold: You may request payouts only after your accumulated earnings reach the minimum threshold specified in your Seller Dashboard (minimum BDT 1,000 or as updated by us).
  • Payment Request Process:
    1. Log in to your Seller account and navigate to the "Account" section. And request payment.
    2. Submit a payout request with your verified payment details (bank account).
    3. We will review your request within 3-5 business days to verify order fulfillment, returns, and deductions.
    4. Upon approval, payouts will be processed within 7 business days to your registered payment method.
  • Deductions: Before processing payouts, we will deduct:
    • Applicable commissions (see below).
    • Platform fees.
    • Shipping costs for free shipping products.
    • Any outstanding returns, refunds, or penalties.
  • Payment Frequency: You may submit payment requests weekly, bi-weekly, or monthly, subject to reaching the minimum threshold.

Commission Structure

We charge category-based commissions on each successful sale, as displayed in your Seller Dashboard and detailed in the Seller Agreement (available at www.arafah.shop/seller-agreement). Commission rates vary by product category and are subject to change with prior notice. Current commission ranges are:

  • Electronics: 5-15%
  • Fashion & Accessories: 8-20%
  • Home & Living: 10-18%
  • Grocery & Essentials: 3-10%
  • Other categories as specified.

You agree to pay these commissions automatically from your sales proceeds. Commission rates are non-negotiable and applied per transaction.

Free Shipping Deduction

If you select "Free Shipping" for a product listing:

  • Customers will see the product price without additional shipping charges.
  • We will deduct the actual or estimated shipping costs from your product price before calculating your payout.
  • Shipping cost deductions will be clearly shown in your transaction history and payout summary.
  • You acknowledge that selecting free shipping affects your net earnings and agree to the deductions as part of the pricing strategy.

Additional Fees

  • Platform Access Fee: Monthly subscription or per-listing fees (if applicable, as specified in your Seller Dashboard).
  • Payment Processing Fees: Fees charged by third-party payment processors (passed through to you).
  • Penalty Fees: For late order fulfillment, high return rates, or policy violations.

Tax Compliance

You are responsible for:

  • Reporting your sales and commissions to tax authorities in Bangladesh.
  • Providing accurate tax identification information (TIN).
  • Remitting applicable VAT, income tax, or other taxes as required by law.

We will provide transaction reports to assist with your tax filing obligations.

Payment Disputes

  • All payout calculations are final unless you notify us of errors within 7 days of receiving the payout summary.
  • We reserve the right to withhold payments if we suspect fraudulent activity, chargebacks, or policy violations.
  • Disputed payments will be resolved through our support team within 14 days.

Payouts are processed according to the schedule above. We are not responsible for delays caused by third-party payment processors, banking holidays, or incorrect payment details provided by you.

6. Data Deletion

You may request deletion of your account and associated data through the self-service system in the App or website:

  • Log in using your authentication credentials (email/password, phone/OTP, or social media login).
  • Navigate to the "Delete My Data" option in the App settings or the account management section of www.arafah.shop.
  • Follow the prompts to submit your deletion request, acknowledging that:
    • Pending payment requests will be processed or canceled.
    • Any outstanding balances (commissions, fees, refunds) must be settled before deletion.
    • Transaction records required for tax purposes (7 years under Bangladesh law) will be retained in anonymized form.
  • We will permanently delete your data (e.g., account information, financial details, product data, transaction history) within 30 days, except where retention is required by law.
  • You will receive confirmation via email or in-app notification upon deletion, and your account will be deactivated.
  • If data cannot be deleted due to legal obligations (e.g., tax records, audit trails), we will notify you of the reasons and retention period.

7. Intellectual Property

You retain ownership of content you upload (e.g., product photos, descriptions). By uploading content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute it solely for operating and promoting the Services. You represent that you have all necessary rights to upload such content. We own all intellectual property related to the App, website, and platform, including software, design, and trademarks.

8. Prohibited Conduct

You agree not to:

  • Use the Services for illegal activities or to violate any laws.
  • Manipulate pricing, reviews, or ratings to mislead customers.
  • List products with inaccurate pricing to circumvent commissions or fees.
  • Attempt to access, interfere with, or reverse-engineer the Services.
  • Use bots, scripts, or automated tools to scrape data or disrupt functionality.
  • Engage in fraudulent activities, such as chargebacks, fake orders, or artificial sales inflation.

Violations may result in account suspension, termination, withheld payments, or legal action.

9. Termination

You may terminate your account at any time via the App or website settings or by contacting us, provided you settle any outstanding payments, commissions, or fees. We may terminate or suspend your account for:

  • Violation of these Terms or our policies.
  • Fraudulent or illegal activity.
  • Failure to meet performance standards (e.g., repeated order delays, high return rates).
  • Non-payment of commissions or fees.
  • Failure to reach minimum payout threshold for 6 consecutive months.

Upon termination:

  • You must fulfill any pending orders.
  • Final payout (after deductions) will be processed within 30 days.
  • Data deletion will follow the process in Section 6.
  • Access to the Seller Dashboard and Services will be revoked.

10. Limitation of Liability

The Services are provided "as is" without warranties of any kind. To the fullest extent permitted by law, we are not liable for:

  • Loss of profits, data, or business opportunities.
  • Damages caused by third-party services (e.g., payment processors, shipping providers).
  • Errors or interruptions in payment processing or commission calculations.
  • Fluctuations in commission rates or shipping cost estimates.

Our total liability shall not exceed the fees or commissions you paid us in the preceding 12 months.

11. Indemnification

You agree to indemnify and hold us harmless from any claims, losses, or damages arising from your use of the Services, violation of these Terms, inaccurate product listings, failure to fulfill orders, or infringement of third-party rights (e.g., intellectual property, consumer protection laws).

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of Bangladesh. Any disputes regarding payments, commissions, or Services shall be resolved through good-faith negotiation. If unresolved, disputes will be subject to the exclusive jurisdiction of the courts in Dhaka, Bangladesh. For EU users, you may also pursue mediation through your local consumer protection authority.

13. Changes to These Terms

We may update these Terms to reflect changes in commission rates, payment policies, or legal requirements. Material changes (e.g., commission structure, payout thresholds) will be notified via email or in-app notice with at least 30 days' prior notice. Continued use of the Services after changes constitutes acceptance.
